Terms of Service

1. Description of Service

MyZip is a hyper-local social platform that enables users to post, discover, and discuss neighborhood content within their ZIP code communities. The Service includes AI-powered agents that monitor local feeds and deliver automated insights, alerts, and summaries relevant to your area. MyZip offers both a free tier and a paid Pro subscription tier with enhanced features.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age (or the minimum age required in your jurisdiction).
• You have the legal capacity to enter into a binding agreement.
• You are not barred from using the Service under applicable law.
• You will provide accurate, current, and complete account information.

If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Accounts & Authentication

The Service uses Google Sign-In for authentication. You are responsible for maintaining the security of your Google account and for all activities that occur under your MyZip account. You must notify us immediately of any unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

We reserve the right to reclaim, suspend, or terminate accounts that impersonate others, violate these Terms, or have been inactive for an extended period.

4. User Conduct & Prohibited Content

You are solely responsible for all content you post and all actions you take on the Service. You agree not to post, transmit, or facilitate content or conduct that:

• Is unlawful, threatening, abusive, harassing, defamatory, or fraudulent.
• Constitutes hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
• Contains sexually explicit or pornographic material.
• Promotes or depicts violence, self-harm, or dangerous activities.
• Infringes any third party's intellectual property, privacy, or other rights.
• Involves spam, unsolicited commercial messages, or pyramid schemes.
• Attempts to scrape, mine, or systematically extract data from the Service without authorization.
• Introduces malware, viruses, or other harmful code.
• Impersonates any person or entity or misrepresents your affiliation with any person or entity.
• Violates any applicable local, state, national, or international law or regulation.

Violations may result in content removal, account suspension, or permanent termination, and may be reported to law enforcement where required.

5. Your Content & License Grant

You retain ownership of the content you post to the Service ("User Content"). By posting User Content, you grant MyZip a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, display, and perform your User Content solely to the extent necessary to operate, improve, and promote the Service.

You represent and warrant that: (i) you own or have the necessary rights to post the User Content; (ii) the User Content does not violate the rights of any third party; and (iii) the User Content complies with these Terms and all applicable laws.

You acknowledge that due to the 10-day content expiration policy described in Section 6, the license granted above terminates automatically when your content is purged from active storage.

6. Content Expiration & Retention

MyZip enforces a strict 10-day content retention policy. All user-generated posts, associated media, and location metadata are automatically and permanently deleted from our active database 10 days after creation. This deletion is unconditional.

MyZip is not a long-term storage or archiving service. You should not rely on the Service to preserve your content. We are not liable for any loss of content resulting from this scheduled deletion.

7. AI Agents & Automated Insights

MyZip uses AI-powered agents to analyze public content and generate neighborhood insights, safety alerts, deal notifications, and other automated summaries. By using the Service, you acknowledge and agree that:

• AI-generated insights are for informational purposes only and do not constitute professional advice (legal, medical, safety, financial, or otherwise).
• AI outputs may contain inaccuracies, errors, or "hallucinations" — plausible-sounding content that is factually incorrect.
• MYZIP EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY INACCURACIES, ERRORS, OR OMISSIONS IN AI-GENERATED CONTENT, AND FOR ANY REAL-WORLD DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON AI SUMMARIES, SAFETY ALERTS, DEAL IDENTIFICATIONS, OR ANY OTHER AI OUTPUT.
• Use of AI insights is strictly at your own risk. Do not rely on AI safety alerts as a substitute for official emergency services (call 911 or your local emergency number in an emergency).

8. Paid Subscriptions & Billing

MyZip offers a Pro subscription tier with enhanced features. By subscribing:

• You authorize us to charge your payment method via Stripe on a recurring monthly basis at the then-current subscription price.
• Subscriptions automatically renew unless cancelled before the next billing cycle. You may cancel at any time through your Account Settings or the Stripe Billing Portal.
• Cancellation takes effect at the end of the current paid billing period. You will retain Pro access until that date.
• We do not offer refunds for partial subscription periods, except where required by applicable law.
• We reserve the right to change subscription pricing with reasonable advance notice. Continued use after a price change constitutes acceptance of the new price.
• If payment fails, we may suspend your Pro features until payment is resolved.

All payments are processed by Stripe. We do not store your payment card information.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and AI agent definitions, is owned by MyZip and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or otherwise exploit any part of the Service without our prior written consent.

The MyZip name, logo, and product names are trademarks of MyZip. You may not use our trademarks without our prior written permission.

10. DMCA & Copyright Complaints

If you believe that content on the Service infringes your copyright, please send a written notice to our designated agent at legal@magpiesys.com including:

• A description of the copyrighted work you claim has been infringed.
• The URL or location of the allegedly infringing material on the Service.
• Your contact information (name, address, phone, email).
• A statement that you have a good faith belief that the use is not authorized by the copyright owner.
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
• Your physical or electronic signature.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SERVICE, INCLUDING AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYZIP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYZIP'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MYZIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless MyZip and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your User Content, your use of the Service, or your violation of any third-party rights.

14. Termination

We reserve the right to suspend or permanently terminate your access to the Service, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination:

• Your right to use the Service immediately ceases.
• Any active Pro subscription will be cancelled; no refund will be issued for the remainder of the billing period, except as required by law.
• Your User Content will be deleted in accordance with our retention policy.

You may terminate your account at any time via User Settings. Sections 5, 9, 11, 12, 13, 15, and 16 survive any termination of these Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in English in San Francisco, California, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MyZip regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

17. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and notify you via email or in-app notice where practicable. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
